This Terms of Service Agreement (the "Agreement") is entered into between Hangzhou Cejie Intelligent Technology Co., Ltd. ("the Company", "we", "us", or "our") and you ("you" or "User"). This Agreement governs your access to and use of Proberank AI (the "Service"), operated at https://proberank.com.

By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree, do not use the Service.

1. Description of the Service

Proberank AI is an AI-assisted content generation and SEO writing platform. It uses statistical and machine-learning models to provide:

• Content ideas, drafts, and rewriting suggestions
• Keyword suggestions and SEO insights
• Market and content summaries, outlines, and related tools

The Service is intended to assist your creative and SEO work, not replace human judgment or professional review.

The Service is continuously updated. Actual available features, models, and interfaces may change or vary by plan, region, or over time.

2. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use the Service.

If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to this Agreement.

3. User Responsibilities and Acceptable Use

You agree that:

3.1 You are responsible for:

• The content you input into the Service
• The content generated or assisted by the Service that you choose to use
• All publications, decisions, and actions based on such content

3.2 You agree not to use the Service to generate, upload, distribute, or assist in creating content that:

(a) Illegal or harmful content

• Violates any applicable law or regulation
• Facilitates fraud, scams, extortion, money laundering, hacking, or other cybercrime
• Promotes or facilitates the sale or distribution of illicit or prohibited goods or services
• Provides operational instructions for criminal activities

(b) Disinformation and deceptive content

• Fabricates facts and presents them as true in a way that can materially mislead the public
• Intends to manipulate elections, civic processes, or political outcomes
• Impersonates individuals or entities without authorization
• Creates or distributes deepfake or synthetic media for deceptive purposes

(c) Violence or abuse

• Contains threats, harassment, or incitement to violence
• Promotes or supports terrorism, violent extremism, or organized hate
• Contains graphic or gratuitous violence

(d) Hate speech and discrimination

• Attacks, degrades, or incites hatred against individuals or groups based on race, ethnicity, nationality, religion, gender, gender identity, sexual orientation, disability, or other protected characteristics

(e) Adult or explicit content

• Pornographic or sexually explicit material
• Sexual content involving minors or that sexualizes minors
• Solicitation of sexual services

(f) Professional/regulated advice presented as professional guidance

• Definitive medical diagnoses or treatment plans presented as professional advice
• Legal instructions presented as binding legal advice
• Financial or investment recommendations presented as guaranteed or professional outcomes

(g) Intellectual property and privacy violations

• Plagiarizes or infringes copyrights, trademarks, trade secrets, or other IP rights
• Uses content or data without necessary permissions
• Violates privacy or publicity rights or misuses personal data

(h) High-risk automated / abusive behavior

• Bulk or automated spam, or large-scale misleading SEO content
• Automated mass-posting or auto-submission to third-party platforms in violation of their terms
• Automated manipulation of search rankings or engagement metrics

3.3 You agree not to:

• Reverse engineer, decompile, or attempt to extract source code, models, or underlying datasets
• Misuse, bypass, or interfere with security or safety mechanisms
• Use the Service to build a directly competing AI content or SEO platform by copying substantial functionality or outputs
• Sell, resell, sublicense, or otherwise exploit the Service except as expressly allowed by this Agreement or your plan

3.4 You are solely responsible for reviewing, verifying, editing, and approving all AI-assisted or generated content before use or publication.

4. Input and Generated Content

4.1 Your inputs

You retain all rights to the prompts, text, files, and other materials you submit to the Service ("Input"), subject to any third-party rights involved.

4.2 Generated content

Subject to applicable law and third-party rights, you may use, reproduce, and distribute content generated by the Service ("Output") for your own purposes.

4.3 Your responsibilities

You are solely responsible for:

• Ensuring that your Input and use of Output comply with all laws and third-party rights
• Any consequences arising from publishing or relying on the Output
• Ensuring that your use of the Service and its Output complies with platform guidelines (e.g., Google, Meta, TikTok, search engines, etc.)

4.4 Data usage by the Company

We may use anonymized, aggregated, or de-identified Input and Output to operate, maintain, secure, and improve the Service, and to enhance models and safety systems, consistent with our Privacy Policy.

5. Important AI & SEO Disclaimers

5.1 AI limitations and content responsibility

The Service collaborates with you to create content. All generated or AI-assisted results are for reference only.

AI models may:

• Hallucinate or invent facts
• Omit relevant information
• Produce outdated, incomplete, biased, or misleading content
• Misunderstand context or intent

You remain solely responsible for:

• Fact-checking and editing content
• Ensuring accuracy, relevance, and compliance
• All publication and business decisions based on the content

The Service does not replace human experts, professional services, or regulatory obligations.

5.2 No professional advice

The Service does not provide:

• Medical, health, or psychological diagnoses or treatment
• Binding legal advice or legal representation
• Personalized financial, tax, or investment advice
• Professional SEO consulting or agency-level guarantees

Any suggestions, explanations, or recommendations are general informational assistance only and must not be treated as professional advice.

5.3 SEO-related limitations and disclaimer

Proberank AI does not guarantee:

• Improved keyword rankings
• Increased organic traffic or conversions
• Faster indexing or more frequent crawling
• Featured snippets, specific SERP positions, or ownership of search results

SEO performance is affected by factors beyond our control, including:

• Search engine algorithm updates and policy changes
• Competitor activity and niche difficulty
• Website authority, structure, and page speed
• Backlinks, user behavior, and content age
• Technical SEO, server performance, and external platforms

Search engines may change algorithms at any time without notice. We do not predict or control such updates and are not responsible for their impact.

You are solely responsible for ensuring that your use of AI-assisted content complies with:

• Google Search Essentials and AI content rules
• Bing and other search engine webmaster guidelines
• Local laws, advertising and disclosure requirements
• Platform-specific policies where you publish content

6. Accounts, Security, and Access

You must provide accurate and complete registration information and keep it updated.

You are responsible for maintaining the confidentiality of your account and credentials, and for all activities under your account.

You must notify us immediately of any unauthorized access or suspected breach.

We may suspend, restrict, or terminate access to the Service (or parts of it) if:

• We detect security issues or suspected misuse
• You violate this Agreement or applicable law
• We are required to do so for legal or regulatory reasons

7. Subscription, Billing, and Payments

The Service may offer free and paid plans. Paid orders are currently processed as one-time purchases.

7.1 Pricing

You agree to pay the fees displayed on https://proberank.com or within the application at the time of subscription.

We may update prices from time to time with prior notice where required by law. Continued use after the change becomes effective constitutes acceptance.

7.2 Billing model

Current production payment capability supports Alipay one-time payment only. There is no automatic recurring charge at this time.

If recurring billing is introduced in the future, we will update these Terms and provide corresponding user notice where required.

7.3 Payment processing

Payments are processed via Alipay and related clearing channels.

By subscribing, you agree to comply with the terms and policies of the payment provider used.

7.4 Refund policy

Except where required by law, all payments are non-refundable.

At our discretion, refunds may be granted only in limited cases, such as:

• Duplicate charges
• System malfunction that prevents access to the Service over a material period
• Other exceptional circumstances as determined by us

7.5 Chargebacks

Unjustified chargebacks may result in suspension or termination of your account.

We reserve the right to recover chargeback fees and related costs to the extent permitted by law.

8. Intellectual Property

All software, models, algorithms, design, interfaces, branding, and proprietary assets related to Proberank AI are owned by the Company or its licensors and are protected by applicable intellectual property laws.

This Agreement grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service, subject to compliance with this Agreement and your plan's limits.

You may not:

• Copy, modify, or create derivative works of the Service's software or models
• Attempt to extract datasets, weights, or internal parameters of models
• Use the Service to build a substantially similar or competing AI content or SEO product by systematically reproducing its core features

9. Privacy and Data Protection

Our collection, use, and protection of personal data are described in our Privacy Policy, available at: https://proberank.com/privacy (or equivalent URL).

By using the Service, you agree that we may process your data as described in the Privacy Policy.

In case of conflict between this Agreement and the Privacy Policy regarding personal data processing, the Privacy Policy prevails.

10. Service Modifications, Availability, and Termination

We may modify, update, suspend, or discontinue the Service, or any part or feature, at any time, including for technical, security, legal, or business reasons.

We may limit or restrict access (including rate limits, quotas, or feature restrictions) to ensure stability and prevent abuse.

We may terminate or suspend your account if:

• You violate this Agreement or applicable law
• You engage in misuse, fraud, or abusive behavior
• We are required to do so by law or regulatory authorities

You may stop using the Service at any time and, where available, cancel your Subscription through your account settings.

11. Limitation of Liability and Disclaimer of Warranties

11.1 "AS IS" basis

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

11.2 No additional warranties

Without limiting the above, we do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• The outputs will be accurate, complete, or suitable for any particular purpose
• SEO performance, traffic, rankings, or business outcomes will improve

11.3 Limitation of liability

To the maximum extent permitted by law, the Company and its affiliates, directors, employees, and agents will not be liable for:

• Loss of profits, revenue, business, or data
• Loss of SEO rankings, deindexing, penalties, or algorithm impacts
• Indirect, incidental, special, consequential, or punitive damages
• Any damages arising from reliance on AI-generated or AI-assisted content

11.4 Liability cap

To the extent liability is not excluded, our total aggregate liability for all claims arising out of or relating to the Service in any 12-month period is limited to the total amount you paid to us for the Service in that same 12-month period.

12. Governing Law and Dispute Resolution

This Agreement is governed by the laws of Hong Kong SAR, China, without regard to its conflict of law principles.

Any dispute arising out of or in connection with this Agreement or the Service shall be submitted to the exclusive jurisdiction of the courts of Hong Kong.

13. Changes to This Agreement

We may update this Agreement from time to time to reflect changes in law, technology, or our business.

When we make material changes, we will provide notice as required by law (for example, by updating the "Effective Date" or by in-product notification or email).

Your continued use of the Service after the updated Agreement takes effect constitutes your acceptance of the changes.
